1. Scheduling & Weather

Appointments require full payment and depend on availability. While Resonate Media Group LLC ("RMG") recommends optimal times based on lighting and weather, clients choose the final schedule. RMG reserves the right to reschedule or modify bookings due to weather, logistical constraints, or FAA airspace restrictions.

2. Travel & Expenses

Bookings include travel to project locations within 50 miles of our office at no charge. Project locations more than 50 miles from our office will be billed at $2.00 per mile for the full round trip. Parking, tolls, and access fees are billed at actual cost.

For air travel, clients cover all expenses: flights, hotels, car rentals, ride-shares, airport parking, plus $100 allowance per project day, per crew member for meals and incidentals.

3. Payment Terms

Full payment is required to confirm the booking date. No services will be rendered until invoice payment is complete. Outstanding balances over 30 days may incur 1.5% per month (18% per annum) finance charges, the maximum permitted under Florida law.

4. Refunds

All payments are non-refundable. No money-back guarantees exist. Canceled bookings convert to credit toward future services valid within 12 months of original booking, non-renewable.

5. Cancellations & Rescheduling

Over 24 hours notice: no rescheduling fee; full payment becomes credit. Under 24 hours or no-show: a non-refundable fee of $250 or 25% of the invoice total, whichever is greater, is required to reschedule, subject to availability.

6. Shoot Readiness & On-Site Conditions

Shoot locations must be ready upon crew arrival; RMG does not clean, stage, or move furniture or equipment. Clients are liable for damage caused to RMG equipment at the location. Locations that are not ready upon arrival require $250 return/rescheduling fee. RMG may cancel shoots deemed unsafe or otherwise unsuitable for production.

7. Client Cooperation

Clients shall cooperate with RMG in all matters relating to their project, including responding promptly to requests for direction, information, approvals, or decisions reasonably necessary for RMG to perform services on schedule. Clients are responsible for ensuring that all information and materials provided to RMG are complete and accurate. Delays caused by a client's failure to cooperate, respond in a timely manner, or provide necessary access may result in rescheduling, adjusted delivery timelines, or additional fees at RMG's discretion.

8. Delivery

Most photo projects are delivered within one (1) business day and most video projects within five (5) business days after the shoot, provided payment is complete. Exact delivery timelines depend on project scope and will be communicated with the client on a per-project basis. Delivery links expire after 30 calendar days.

9. Revisions & Music Selection

Deliveries are final. Each project includes one (1) complimentary revision round. Clients must consolidate all revision requests into a single communication — revisions submitted in multiple rounds will not be accepted under the complimentary round. Any additional revision round after the first is billed at $150 per hour (one-hour minimum), then in 30-minute increments.

Music selection defaults to RMG unless the client specifies an exact song title in writing before editing begins. Music changes are not included in the complimentary revision round and are billed separately at $150 per hour regardless of when they are requested.

10. Raw Footage

Raw footage is not typically provided. When available, it requires a separate fee and is supplied as-is, without color grading, color correction, or audio processing. Clients should be aware that raw footage is delivered in a professional camera format that requires industry-standard editing software and trained post-production skills to work with — it is not ready for direct use or viewing. Audio recordings are excluded. Resale of raw footage is prohibited.

11. Usage License & Rights

All photos, videos, and related media remain the exclusive property of Resonate Media Group LLC. Upon payment, clients receive a non-exclusive, non-transferable, perpetual license to use delivered media for the marketing purposes described at the time of booking. Use for any purpose beyond the original project scope requires prior written consent from RMG.

Clients may not alter, edit, modify, or create derivative works from any delivered media. This includes but is not limited to: using photography as a base for virtual staging or AI-generated modifications, video re-editing, cropping that removes watermarks or credits, color grading alterations, or any other post-production modification. Copyright removal voids the license. Sublicensing to MLS platforms is permitted where applicable to the original project scope.

12. Portfolio Use

Unless clients opt out in writing at booking, RMG displays deliverables — including trademarks and likenesses — in portfolio, website, social media, and award submissions under Florida publicity law.

13. Drone Operations

RMG operates under FAA Part 107 certification. Clients must secure permission from the location owner or relevant authority for drone operations and landing. Operations comply with FAA rules and local airspace regulations. If drone operations are not possible due to location, airspace, or access restrictions, clients will receive credit toward other services. Clients warrant that all necessary privacy releases required under Fla. Stat. Section 934.50 have been obtained.

14. Music Licensing

For social media content, RMG may select music from the Instagram in-app music library unless the client specifies an exact song title in writing before editing begins. Meta policy changes may mute or remove videos; RMG is not liable. Royalty-free licensing covers organic posts only; paid advertising requires additional licensing.

For all other video deliverables, music is licensed for the client's non-commercial marketing use related to the project only. Use in paid advertising campaigns requires separate licensing, which is the client's responsibility to obtain.

15. Client Responsibility & Indemnity

Clients defend, indemnify, and hold harmless Resonate Media Group LLC from any claims, damages, liabilities arising from client-provided materials, persons, or locations. This obligation survives project completion.

16. Limitation of Liability

Except gross negligence or willful misconduct, RMG's total liability is limited to the amount paid under invoice. No liability for lost profits, consequential, incidental, or special damages.

17. Governing Law & Venue

Florida law governs. Disputes resolve exclusively in Orange County, Florida state courts, or the U.S. District Court for the Middle District of Florida, Orlando Division. Prevailing party recovers reasonable attorney fees.

18. Force Majeure

Neither party liable for delays from natural disasters, acts of God, war, terrorism, epidemics, governmental restrictions, or FAA-imposed groundings.

19. Termination

RMG may terminate this agreement with immediate effect upon written notice to the client if the client: (a) fails to make any payment when due; (b) fails to comply with any material term of these Terms and does not cure such failure within five (5) business days of written notice; or (c) engages in conduct that, in RMG's reasonable judgment, creates an unsafe or hostile working environment for RMG personnel. Upon termination, all amounts previously paid are non-refundable and any outstanding balance remains due and payable.

20. Assignment

Clients may not assign, transfer, or delegate any rights or obligations under these Terms without the prior written consent of RMG. Any purported assignment without such consent is null and void. RMG may assign these Terms without client consent in connection with a merger, acquisition, or sale of substantially all of its assets.

21. Waiver

No failure or delay by RMG in exercising any right or remedy under these Terms constitutes a waiver of that right or remedy. Past flexibility or accommodation by RMG in any instance does not obligate RMG to provide the same in the future. Any waiver must be made expressly in writing by an authorized representative of RMG.

22. Severability

Invalid provisions don't affect remaining terms.

23. Entire Agreement & Amendments

These terms constitute the complete agreement, superseding prior understandings. Any changes must be made in writing and signed by both parties.

24. Independent Contractor Status

RMG operates as independent contractor, responsible for own taxes, insurance, and compliance.

25. Acceptance of Terms

By paying an invoice, the client acknowledges and agrees to these Terms & Conditions in full. Use of delivered media confirms acceptance.
